02 / ENGAGEMENT ARCHITECTURE

Proposals, Quotations & Statements of Work

All client engagements are formalised through written Quotations, Statements of Work (SOW), or Service Level Agreements (SLA). The specific deliverables, milestones, fee structures, and technical parameters detailed in an approved SOW supersede any conflicting verbal arrangements.

Unless expressly stated otherwise in writing, official project quotations remain valid for 30 (thirty) calendar days from the date of issue. Nexus reserves the right to adjust quotations where project parameters, site readiness, or hardware component costs materially change prior to sign-off.

03 / PROPRIETARY RIGHTS

Intellectual Property & Code Ownership

Bespoke Solutions: Upon full and final settlement of all invoiced fees, full proprietary rights in custom software code and specific database schemas engineered exclusively for the client pass to the client.

Background Intellectual Property: Nexus Core Technologies retains complete ownership of all pre-existing frameworks, reusable utility classes, architectural libraries, algorithms, automation tooling, and foundational codebases utilised in the delivery of services. Nexus grants the client a non-exclusive, perpetual, worldwide license to use such background IP solely as embedded within the delivered project.

04 / FIELD INFRASTRUCTURE

Solar, Hybrid Energy & Network Deployments

Deployments involving solar inverters, lithium battery banks, server racks, structured cabling, or automated smart home hardware are subject to field-specific compliance:

  • Site Access & Safety: The client is responsible for providing unhindered, safe physical access to premises, conduits, server closets, and electrical distribution boards.
  • Electrical Compliance: High-voltage hybrid and solar grid connections are executed strictly in accordance with SANS 10142-1 (The South African Code of Practice for the Wiring of Premises). Electrical Certificates of Compliance (CoC) are issued upon commissioning by registered installation electricians.
  • Pre-existing Infrastructure: Nexus is not liable for structural degradation, conduit blockages, pre-existing earth faults, or sub-standard non-compliant wiring installed by third-party contractors prior to our engagement.
05 / HOSTING & ENVIRONMENTS

Software Engineering & Cloud Hosting

User Acceptance Testing (UAT): Following milestone deployment, the client has 14 (fourteen) business days to perform functional testing and report defects against agreed specifications. Approval or commencement of live production use constitutes formal acceptance.

Managed Hosting & Uptime: Hosted services on Nexus infrastructure target a 99.9% uptime SLA, excluding scheduled maintenance windows or upstream telecoms carrier disruptions. Clients must not deploy unlawful payloads, unauthenticated bulk mail relays, or execute denial-of-service simulations without written authorization.

06 / FINANCIAL TERMS

Fees, Invoicing & Taxes

All fees are quoted in South African Rand (ZAR). Standard payment terms are strictly net 30 days from invoice date unless an initial project deposit is specified in the applicable Statement of Work.

Payments overdue by more than 14 days may result in temporary suspension of cloud services, repository access, or technical support. Overdue balances accrue commercial interest at the prime lending rate of South Africa plus 2% per annum.

07 / RISK ALLOCATION

Warranties, Guarantees & Limitation of Liability

Nexus warrants that services are executed with professional enterprise competence adhering to standard industry practices. Hardware components (inverters, batteries, switches, access points) carry their respective original equipment manufacturer (OEM) warranties.

To the maximum extent permitted under the Consumer Protection Act (CPA), neither party shall be held liable for indirect, consequential, punitive, or loss-of-profit damages. The total aggregate liability of Nexus Core Technologies arising out of any engagement shall not exceed the total fees paid by the client under the specific Statement of Work during the preceding 6-month period.

08 / INFORMATION INTEGRITY

Cybersecurity & POPIA Compliance

All client credentials, network configurations, proprietary data, and personal information are processed under strict confidentiality in compliance with the Protection of Personal Information Act, 2013 (POPIA).

For detailed data processing categories, operator obligations, and Information Officer audit information, please refer to our full Enterprise Privacy Policy.

09 / CONTRACT LIFECYCLE

Suspension & Termination

Either party may terminate an ongoing services agreement upon 30 (thirty) days written notice. Immediate termination is permissible if either party commits a material breach of these terms and fails to remedy such breach within 14 (fourteen) days of receiving written notice.

Upon termination, the client shall remit payment for all work completed up to the date of cancellation, whereupon all finalized client assets will be provided in an orderly transition.

10 / LEGAL JURISDICTION

Governing Law & Arbitration

These terms and all commercial agreements are governed exclusively by the laws of the Republic of South Africa. Any dispute that cannot be resolved amicably through senior management negotiation within 14 days shall be submitted to the Arbitration Foundation of Southern Africa (AFSA) for confidential resolution in Durban or Johannesburg.
